Dangote Refinery Secures Record $2.5bn Equity Funding in Africa’s largest disclosed primary equity private placement to support expansion and growth

Aliko Dangote, President and Chief Executive of Dangote Industries Limited and Chairman of Dangote Petroleum Refinery and Petrochemicals FZE, has announced that the refinery has raised $2.5 billion through a private equity placement, describing the transaction as Africa’s largest publicly disclosed primary equity private placement.

The company disclosed the fundraising on Thursday, saying the landmark transaction marks its first equity funding round involving external investors beyond its legacy shareholder base and reflects growing confidence in the refinery’s long-term growth strategy and operational performance.

The Equity Funding transaction is expected to strengthen the company’s capital structure while providing fresh resources to expand its refining and petrochemical operations.

According to the company, the proceeds will be used to support the continued expansion of the refinery and petrochemical complex, improve financial flexibility and position the business to pursue future growth opportunities.

The offering attracted broad participation from international and African institutional investors, sovereign-related investment vehicles, development finance institutions, strategic partners and individual investors, highlighting strong global confidence in the refinery’s prospects.

Among the notable investors were the Africa Finance Corporation and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank). Their participation was presented as a significant vote of confidence in the refinery’s long-term commercial outlook.

Describing the successful capital raise as a pivotal moment, Dangote said the transaction would broaden the company’s shareholder base while supporting its ambitious expansion plans.

“This transaction represents a strategic step to deepen and further institutionalise the enterprise’s shareholder base, while raising capital to complement our internal cash flows and external funding as DPRP advances its expansion agenda,” Dangote said.

“It also demonstrates our unwavering commitment to developing Africa’s refining and petrochemical capacity, reducing dependence on imported petroleum products and strengthening the continent’s energy security.”

Managing Director and Chief Executive Officer David Bird said the overwhelming investor interest reflected confidence in the company’s operational execution and future growth.

“The exceptional demand we witnessed is a testament to our operational excellence, execution capability and the confidence investors have in DPRP’s leadership and future potential,” Bird said.

A notable aspect of the transaction is that it represents the refinery’s first external equity fundraising beyond its original shareholders, marking an important step in diversifying ownership while maintaining momentum for future expansion.

The Dangote Refinery, which began operations as Africa’s largest single-train refinery, has been positioned as a strategic asset aimed at reducing Nigeria’s dependence on imported refined petroleum products and strengthening energy security across the continent.

The latest capital injection is expected to reinforce those ambitions as the company expands refining and petrochemical capacity to meet rising regional demand.
